Founding Audit Wizard (§11 Abs. 2 Nr. 3 GenG)

Under Section 11(2)(3) of the German Cooperative Act (Genossenschaftsgesetz - GenG), newly established cooperative societies must undergo a mandatory founding audit (Gründungsprüfung) conducted by an authorized auditing association (Prüfungsverband). The system automatically validates your inputs against German legal requirements:

  • Minimum Members Rule: At least 3 founding members must be registered before submission.
  • Board Member Age & Suitability: All board members (Vorstand) must be of legal age (18+), submit a valid CV, and hold required minimum shares.
  • Statutes Verification: Cooperative statutes (Satzung) must be uploaded as PDF and contain mandatory GenG clauses.

Submitting to Prüfungsverband​

Once all phase checklists show green checkmarks:

  1. Review the generated Founding Audit Brief.
  2. Click Submit to Prüfungsverband.
  3. Your assigned Org Admin and Auditor will receive an automated notification to begin reviewing your file.
